Country based Mergers & Acquisitions
Our Mergers & Acquisitions (M&A) teams focus on the purchase, sale and merger of public or private companies. They are also involved in many other transactions, including de-mergers, joint ventures and strategic reviews.
Working in Mergers & Acquisitions, your primary focus will be M&A transactions within your specific country and across all industry sectors. On a deal team, you will work alongside senior M&A colleagues with knowledge of executing transactions in that country, as well as pan-European industry teams with a detailed understanding of that sector.
M&A teams are based in London, Frankfurt, Madrid, Milan, Moscow and Paris, covering the following countries:

- Nordic M&A
- Benelux M&A
- French M&A
- Iberian M&A
- German/Austrian/Swiss M&A
- Italian M&A
- CEEMEA M&A
- Russian M&A
While most Analysts and Associates are hired into our London office, there are opportunities available in other local teams across Europe, the Middle East and Africa.
Within all teams, your M&A knowledge and skills will combine in a role at the forefront of client interaction and the building of long-term relationships.
Pan-European Industry Sector
In order to make the most of their skills and knowledge, our sector teams are subdivided into six industry-specific groups. Whatever your team, you will generate ideas for potential transactions and map out the future direction of your industry sector.
The six industry-specific groups are:
- Consumer, Healthcare and Retail
- Diversified Industries and Transportation
- Utilities, Oil and Gas
- Financial Institutions
- Real Estate
- Technology, Media and Telecommunications
In a pan-European industry sector team, you will work closely with our local M&A and Capital Markets teams to originate and execute a transaction, and co-ordinate the efforts of all involved. You'll help value the target, assess its merits, define the negotiation arguments and tactics with the M&A team, assess the acquisition's impact on the client, and work closely with the Capital Markets team to determine the optimal financing structure.
As you gain more insights into a particular sector across all countries in Europe and work across all of our product groups, your front-line position with clients will incur enormous responsibility. It's hard to imagine a more effective route into the investment banking arena.
Capital Markets
Based in London and their respective countries, the Capital Markets groups provide advice, structuring and execution capabilities to clients wanting to raise debt or equity capital. These teams have also been further subdivided in order to maximise our expertise.
Equity Capital Markets
As the name suggests, our equity specialists provide advice on a range of equity, equity-linked and equity derivatives products and solutions.
In the Equity Capital Markets team, when raising equity for a new company for example, you’ll:
- write recommendations on the nature and structure of the transaction
- work with management to prepare the company's marketing materials
- craft the company's equity story
- structure the institutional marketing campaign
- organise the offering process with lawyers and accountants
- assess the level of demand from targeted investors
- provide continuous feedback to the client regarding investor sentiment and equity market conditions
- comprehend investor views on the story
- communicate with syndicate banks to organise the marketing of the offering
Constant communication is required with the pan-European industry sector teams as well as equity Sales, Trading and Research to understand the company's strategy and valuation.
While working on an equity derivatives trade, you'll become a key liaison with the client. Understanding their objectives and assisting in cultivating the client relationship on an ongoing basis is crucial. You can then advise them on a wide range of derivatives solutions, using our trading and research capabilities to provide the optimal solution to their needs.
Debt Capital Markets
On the other hand, join our debt specialists and you'll provide advice on the refinancing of existing debt, raising new debt for acquisitions or the restructuring of existing debt. Working in the Debt Capital Markets team, you’ll play a central role in the raising and executing of debt financing. You’ll be expected to:
- get involved in all aspects of new business solicitation, developing new ideas and pricing new issue opportunities
- coordinate the production and distribution of bond pre-marketing materials such as investor presentations, Bloomberg roadshows or loan information memoranda
- work closely with the bank and bond syndicate teams
- help focus the respective sales forces on the transaction and assist them in answering credit related questions
- co-ordinate the documentation process with lawyers and the internal Transaction & Execution group, as well as due diligence sessions with management
- assist with the marketing of the transaction internally and to other potential issuers
The team will rely on your analytical and time-management skills, and expect you to take rapid ownership of key components of the interaction with clients. There’s no doubt that you’ll need to develop your skills quickly.
Securitised Products
If you join our Securitised Products team you'll advise on all kinds of asset-backed financing and derivative structures. Securitisation is the process of transforming any asset - normally those that bring about relatively predictable future cash flows (e.g. residential and commercial mortgages, automobile leases, football ticket receipts) - into tradable securities, resulting in a bespoke product range that we can offer our clients.
From day one you'll be involved in the marketing and execution of asset-backed financing solutions for a broad range of clients. You can expect a steep learning curve when it comes to:
- understanding all the components that make these highly structured transactions
- assessing and modelling cash-flows
- marketing an idea to a client
- liaising with ratings agencies and lawyers during an execution
- participating in the roadshow for investors
- placing bonds in the capital markets
Your analytical skills will be put to the test and you'll be expected to co-ordinate and take responsibility for these processes like any other member of the deal team.
Working closely with a broad range of professionals from different areas of the bank - including the asset-backed securities syndicate team, credit risk management and swaps desks and illiquid trading desk to name just a few - you'll gain a broad understanding of the products the bank offers that can be put to use in securitisation.
